Terms & Conditions

The terms governing Delibra ER membership, purchases, learning access and use of the platform.

Last updated: 8 October 2026 · Aver Consultancy Ltd

01

Introduction

These Terms & Conditions govern the purchase of, access to and use of Delibra, including Delibra ER, its online learning environment, simulations, resources and related membership services.

Delibra is a trading name of Aver Consultancy Ltd (company number 16727805), registered in England and Wales, whose registered office is 128 City Road, London, England, EC1V 2NX. “We”, “us” and “our” mean Aver Consultancy Ltd.

“You” means the individual using Delibra or the person or organisation purchasing access, as appropriate. Where an employer purchases a learner’s membership, that employer is responsible for its purchasing obligations and the learner must comply with the platform-use rules.

These Terms apply together with the information shown at checkout and any separately accepted organisational order. Mandatory statutory rights take precedence where applicable.

02

What Delibra provides

Delibra ER is an online professional-development membership designed to build knowledge, analytical reasoning and practical judgement in Employee Relations. It may include structured subjects and lessons, interactive exercises, fictional simulations, ER Radar updates, resources and progress indicators.

Delibra is a learning provider, not a law firm or legal advisory service. Material is educational and not legal representation or advice tailored to a specific workplace dispute. Learners and their employers remain responsible for decisions in real cases and for seeking specialist advice when necessary.

We do not promise a professional qualification, accreditation, a particular workplace outcome, or elimination of employment-law or commercial risk unless expressly stated for a particular offering.

03

Membership and licences

Delibra ER is a 12-month initial membership commitment. Both proposed payment options provide the same learning access. The payment method does not shorten the agreed initial membership term.

Each licence permits one named learner to use Delibra ER at a time. Learning accounts and sign-in details must not be shared. Purchasing multiple seats does not create an organisation-wide licence.

Licence sharing, pooling, resale, sublicensing and unauthorised reproduction are prohibited. Delibra content remains owned by or licensed to Aver Consultancy Ltd. Purchasers may reassign an unexpired licence through their account when replacing a learner. The previous learner loses access immediately; the replacement receives only the remaining term. Learning records remain with each individual, and reassignment does not restart the term or reduce committed payments.

Membership normally starts when the accepted order's payment or agreed invoice requirements are satisfied and access is activated. The accepted order determines the dates of access.

04

Prices and payment

The proposed price for one 12-month Delibra ER membership is £795 paid in full at the start. Alternatively, the £795 membership price may be paid in 12 monthly instalments of £66.25, subject to a 12-month commitment.

An approved monthly-paid contract, if offered, would commit the purchaser to all 12 initial monthly payments. A request to switch off automatic renewal for later periods does not terminate the existing minimum-term payment obligation. Any mandatory cancellation rights, remedies for our breach and applicable credit rights take precedence.

The final checkout will disclose the payment method, first charge, payment dates, minimum total payable, renewal frequency and total consumer price including all applicable mandatory taxes. No customer will be charged under a billing arrangement that has not been expressly accepted.

Aver Consultancy Ltd does not grant a contractual right to reduce the agreed fixed-term price or defer instalments at the customer's discretion. A change must be expressly agreed, or otherwise required by law.

The price agreed for a current fixed term will not be increased unilaterally. A proposed future renewal price may differ, provided any advance notice and opportunity to avoid the renewed charge required by law are given.

If payment is not made when due, our rights are as set out under 'Missed payments, disputed charges and access', subject to applicable law.

05

Organisation and invoice purchases

Business purchasers can obtain quotations for named learner licences under a separately accepted organisational order. Submitting an invoice or purchase-order request does not create a binding agreement or activate access.

An accepted order establishes the number of licences, their agreed price, duration, start date, invoices, VAT treatment, payment due dates and any expressly agreed renewal procedure. A purchaser may replace a named learner through the account reassignment process, subject to any different terms expressly accepted in their organisational order.

A business order cannot be cancelled merely because a designated learner does not begin or complete learning, leaves employment or no longer needs access. Fees for the accepted fixed term remain payable unless law or an express written agreement provides otherwise.

Business purchasers do not have statutory consumer cooling-off rights merely because an order is placed online. No voluntary refunds or licence credits arise from a change of plans.

Purchase-order terms supplied by an organisation do not override Delibra's accepted terms unless expressly agreed. An invoiced order does not renew automatically or authorise further charges without an applicable renewal agreement.

Where Delibra processes personal data on a customer's behalf, any Article 28 agreement required by UK GDPR must be assessed against the actual data-processing arrangements. See Organisational Membership Terms.

06

Automatic renewal

Under the proposed annual-payment model, a membership continues for a further 12-month term at the renewal price notified in advance unless the customer has validly stopped renewal before the renewal occurs.

For monthly payments, membership renews for a further 12-month term, payable in 12 monthly instalments, unless automatic renewal is stopped or an alternative renewal option is selected before the renewal date.

Following the initial 12-month commitment, customers may select six-monthly renewal at £397.50 or rolling monthly renewal at £66.25. Changes take effect at the next renewal date. Rolling monthly membership may be cancelled at the end of the applicable paid billing period. Customers can communicate a request to stop a future automatic renewal during the current term. Such a request does not give an additional right to cancel the current fixed term, obtain a refund or avoid remaining instalments lawfully due during the minimum period.

Stopping a future renewal will prevent charges for periods that have not yet renewed, provided the request is validly received before that renewal. Access already paid for continues for the applicable term unless the agreement lawfully ends sooner.

Delibra will provide the renewal and cancellation information required by law and a functioning way to communicate cancellation before recurring online sales begin. Any new statutory rules apply from their legally effective commencement dates.

For purchase-order and invoiced memberships, there is no automatic card renewal unless the purchaser has expressly agreed to it. A further invoice term requires acceptance under the applicable organisational order.

07

Consumer cancellation and refunds

Delibra does not offer a voluntary change-of-mind refund, satisfaction guarantee, 30-day guarantee or 60-day money-back period. A refund or release from contractual payment obligations will be provided only to the extent required by applicable law or by a separate express written agreement.

An individual who contracts as a consumer online will ordinarily have a statutory 14-day cooling-off period from contract formation unless a lawful exception applies. Individuals contracting wholly or mainly for business purposes may not qualify for consumer protections; the actual circumstances determine their status.

For qualifying digital content supplied electronically, the statutory change-of-mind right may be lost once supply begins if all legally required prior express consent, acknowledgement of loss of that right and contractual confirmation requirements are satisfied. Merely agreeing to these Terms is insufficient. Any continuing service component has distinct legal rules, including in some cases a proportionate charge for service supplied at the consumer's express request during the cancellation period.

If a valid statutory cancellation right or remedy applies, Delibra will provide only the cancellation, repayment or other remedy that law requires. A complaint, request for an exception, unused access, failure to complete learning or change of personal circumstances does not by itself establish a refund entitlement.

Outside an applicable legal or expressly agreed contractual right, payment for an activated and properly supplied membership is non-refundable, including on non-use, partial use or voluntary early departure. Future billing under a valid initial commitment remains payable even when the customer chooses not to use the service.

Turning off automatic renewal prevents the next membership term. It does not cancel payment obligations for the current term or retrospectively refund charges for access already provided, subject to applicable statutory rights.

The method of exercising a statutory cancellation right will be communicated before purchase and will operate in accordance with law. A valid statutory notification will not be rejected merely because a preferred website control is unavailable.

Mandatory remedies for unsatisfactory or non-conforming digital content or services, failure to supply, unlawful charging and any regulated-credit rights are not excluded. See the separate Cancellation, Refunds & Renewals page.

08

Missed payments, disputed charges and access

Where a payment validly due under the accepted agreement is missed, we may request the overdue amount and attempt an authorised retry using the agreed payment method, subject to applicable law, payment rules and any required notices.

If an undisputed payment remains overdue, we may suspend or restrict access after such notice and opportunity to remedy as law or the agreement requires. Suspending access does not, by itself, waive lawfully accrued charges or terminate the remaining minimum-term obligations.

A charge will be corrected or refunded where it was not authorised or where applicable law, payment rules or a valid contractual remedy requires correction. A customer alleging an error should identify the disputed charge, and we will investigate it as necessary to determine whether a legal or contractual correction is due.

No unagreed consumer late fee, penalty or additional service charge is imposed by these Terms. We reserve only costs or recovery rights lawfully available and enforceable under the relevant agreement.

Nothing in this section removes the customer's legal rights arising from a failure by Delibra to perform the contract, including any right to withhold disputed sums or seek a statutory remedy.

09

Accounts and security

Provide accurate registration information and safeguard account credentials. Do not knowingly allow anyone else to access your individual membership.

Notify us promptly if you suspect account misuse or a security issue. We may apply reasonable authentication and security controls or temporarily restrict access where proportionate to investigate a genuine risk.

10

Learning updates and availability

We aim to maintain current and useful learning material and may update lessons, scenarios, resources, accessibility, features and presentation as law, Acas guidance and professional practice develop.

We will not intentionally remove substantial contracted functionality or materially reduce the overall paid service without a legitimate reason, appropriate notice where required, and respect for contractual and statutory remedies.

Access may occasionally be interrupted for maintenance, software upgrades, incidents or hosting problems. We will take reasonable steps to restore service and communicate significant planned disruption where practicable. Statutory rights are not excluded.

11

Legal content, professional judgement and simulations

Delibra principally addresses UK Employee Relations. Law, case decisions, statutory commencement dates and guidance change. We aim to distinguish current legal requirements from proposed or future reforms, but do not guarantee that every item reflects every change immediately.

Users should verify the relevant current legal position, internal policy and evidence before any real employment decision, particularly in high-risk or contested cases. Our examples and suggested responses are educational, not binding instructions or legal determinations.

Exercises may include fictional characters, emails, documents and workplace events, or expressly identified publicly reported cases. Simulation feedback evaluates a hypothetical scenario and does not certify professional competence or legal compliance.

Do not enter identifiable employee records, special-category personal data or confidential employer documents into learning activities unless we expressly authorise a suitable secure feature.

12

Intellectual property and permitted use

Delibra’s original course content, software, exercises, simulations, design and branding are protected by intellectual property rights belonging to Aver Consultancy Ltd or relevant licensors.

Use of the membership permits authorised personal learning during the access period, and reasonable application of acquired skills in the workplace. It does not grant permission to publish, sell, sublicense, scrape or systematically reproduce substantial protected material, train a competing commercial course or distribute protected resources without permission.

Any separately supplied downloadable material is subject to its stated licence. Nothing in these Terms prevents acts permitted by law.

13

Acceptable use

Do not attempt to bypass access controls, compromise platform security, inject malicious code, unlawfully collect information or misuse Delibra to facilitate unlawful conduct.

Do not submit content that infringes third-party rights, breaches confidence or violates data protection law. We may investigate reasonably suspected misuse and apply proportionate restrictions.

14

Suspension, termination and expiry

We may suspend or terminate access where the contract or applicable law permits, including for material non-payment, unauthorised account sharing, serious misuse or security threats. Required notice and opportunity to rectify will be provided where applicable.

A user's voluntary decision to stop using Delibra, leave employment or delete an account does not by itself terminate a valid minimum-term agreement or release sums lawfully owed. It does not automatically generate a refund.

If Delibra is in breach of the agreement, or the law otherwise requires cancellation, a reduction or a refund, the applicable legal or contractual remedy will be respected.

At lawful expiry or termination, access ends, and accrued payment obligations and clauses intended to survive continue only so far as legally enforceable.

15

Privacy and employer-funded access

We process personal information in accordance with applicable data-protection law. Our Privacy Notice explains the categories of data, lawful bases, retention, recipients and your rights; our Cookie Notice explains cookies and similar technologies.

Membership administration and learning progress may be processed to operate the service. Any employer access to learner information or reporting must be described in the applicable purchasing and privacy information.

Optional marketing preferences are managed separately from necessary account, payment, security and service communications.

16

Accessibility and technical requirements

We aim to offer an accessible learning environment compatible with commonly supported browsers and devices. Users ordinarily need a suitable device and internet connection.

Please report accessibility barriers through our published support contact details. Our Accessibility Statement provides further information.

17

Responsibility and liability

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any liability or statutory remedy that cannot lawfully be excluded.

We remain responsible for meeting our contractual and statutory obligations. Delibra does not take responsibility for a user’s independent employment or legal decisions solely because the user completed educational material.

For business purchasers, and subject to non-excludable rights, we do not accept liability for indirect or consequential losses that were not reasonably foreseeable when the contract was made. Any exclusion is subject to applicable law and the circumstances.

18

Complaints and support

Customers may notify Delibra of an alleged billing error, non-conforming digital content or service failure using the operational contact details provided before purchase. We will investigate claims sufficiently to determine and comply with any applicable legal or contractual obligation.

Raising a complaint does not automatically entitle a customer to suspend valid instalments, receive a refund or cancel an agreed fixed term. This does not restrict a remedy or withholding right the law actually confers.

Where required, Delibra will provide durable-medium confirmation of the accepted order and the relevant legally prescribed information and consents.

19

Changes to these Terms

We may update these published Terms for legitimate reasons, such as changes in law, product functionality, information security or business operations, and will record the updated review date.

An amendment posted to the website will not automatically rewrite an existing paid agreement. We will give appropriate notice of material changes and obtain further agreement where required. We will not impose a higher price partway through a fixed paid term without a lawful basis and the customer's valid consent.

Any proposed increase affecting a future renewal will be communicated in advance, together with a straightforward way to stop the renewal. Existing statutory and accrued rights remain unaffected.

20

General and governing law

If a provision is found unenforceable, the remaining provisions continue so far as legally possible. A delay in enforcement does not necessarily waive a right.

These Terms are governed by the law of England and Wales, subject to mandatory protections applicable to consumers elsewhere. Business-to-business disputes are subject to the courts of England and Wales unless expressly agreed otherwise. Consumers retain any legally protected choice of jurisdiction.
